Corporate & Commercial

Our corporate practice area covers all aspect of corporate activities of business enterprises across a wide range of industries.

Capital Markets

We advise on initial public offerings, local and foreign stock exchange listings and secondary offerings, rights and bonus issues, employee share option schemes, bonds and other debt securities, convertible loans, bonds with warrants and other equity-linked products, asset securitisation, Real Estate Investment Trusts (REITS), structured products and commercial paper, and Islamic private debt securities. Latest notable experience is an asset backed securitization for a logistics company of RM200 Million together with Sukuk Al-Ijarah Bank Guarantee Facility of RM40 million.

General Corporate and Listing Compliance

Our general corporate work includes all areas of corporate and commercial law. We advise our listed company clients on listing and other compliance obligations as required by the Bursa Malaysia Securities Berhad (Malaysian Stock Exchange) and the Securities Commission, as well as on corporate governance issues. Latest notable experience for due diligence and advice for initial public offerings include Pantech Group Holdings Berhad (Main Board) and Natural Bio Resources Berhad (Second Board).


Banking practice is one of the major practices of our firm. We advise on domestic and offshore syndicated and single bank term, stand-by and revolving loan facilities and multiple option, guarantee and acceptance facilities, project finance, equipment financing, structured financing, and trade finance and export credit facilities. We also advise on Islamic banking and finance and Islamic debt capital markets.
We are proud to state that commercial and corporate banking loan documentation is our forte and our numerous bank panels on commercial/corporate banking are a testament of our experience. We are frequently asked to advise and draft bridging, syndication, project financing and other complicated forms of financing loan documentation.

We are currently very active in the area of corporate and commercial loan documentation for Business Centres of most major Banks of which we are on full panels i.e. Malayan Banking Berhad, CIMB Bank Berhad, United Overseas Bank Malaysia Bhd, Bank Muamalat Malaysia Berhad (Commercial/Corporate Division), SME Bank Berhad and RHB Bank Berhad.

We are also on full panel of and Credit Guarantee Corporation Berhad.

For ad hoc banking clientele, we are accepted to advise for Bank Islam Malaysia Berhad, OCBC Bank Malaysia Berhad and Public Bank Berhad for Corporate and Commercial loan documentation.

Real Property Practice

Clients are counselled on the real estate issues that arise in the context of corporate mergers and acquisitions, the disposition and redeployment of corporate real estate assets, the structuring and negotiation of governmental incentives for retention and/or relocation of owned or leased real estate.

We also advise property developers on the legal structure of their development and on the sales of the property, as well as in developing novel products such as retirement villages and other property products which are linked to services. We provide advice to both landlords and tenants on the negotiation of lease agreements for substantial office, hotel, resort, shopping centre and other retail space and ground, development, institutional and net leases.

We have been involved in real property transaction since the beginning of the set-up of our Firm. Today, we are involved in every aspect of acquisition of real estate, development and financing of all kinds of real estate.

Institutional Lenders

In relation to purchase of properties, we draw up loan documentations to secure lender clients’ interest in granting end-financing for the purchases of properties.

We are on full panels of 6 major financial institutions in Malaysia: Malayan Banking Berhad, CIMB Bank Berhad, RHB Bank Berhad, United Overseas Bank Malaysia Bhd, Bank Pertanian Malaysia and Bank Muamalat Malaysia Berhad.

We are active on the ad hoc panels of most financial institutions of which we are not on full panel.
